Timelaine Terms of Use

1. Acceptance of the Terms

Timelaine (the "Platform") is operated by Key-2-Rent LTD ("Company", "we", "us"). By accessing or using the Platform, you agree to be bound by these Terms of Use ("Terms") and any policies referenced within them. If you do not agree, do not use the Platform.

2. Eligibility

  • You must be at least 18 years old and capable of forming a binding contract.
  • You must comply with Kenyan law and all laws applicable to your use of the Platform.
  • We may request verification of your identity or property ownership before enabling certain features.

3. Account Registration & Security

  • Provide accurate, complete information during registration and keep it updated.
  • You are responsible for all activity conducted under your account and for safeguarding your credentials.
  • Notify us immediately at support@timelaine.com if you suspect unauthorized access.

4. Listings, Content & Transactions

  • Landlords represent and warrant that listings are accurate, lawful, and that they have authority to offer the property.
  • Tenants acknowledge that final rental agreements are between the tenant and landlord. Timelaine is not a party to rental contracts.
  • The Platform may facilitate communications, scheduling, or payments, but we do not guarantee lease outcomes or tenant suitability.

5. Payments & Fees

  • We may charge service fees disclosed at the point of transaction.
  • Third-party payment processors handle all monetary transactions. You authorise us to share necessary information with such processors.
  • Fees are non-refundable unless otherwise stated in writing or required by law.

6. AI & Automated Insights

  • Timelaine offers AI-powered tools (e.g., image analysis) for informational purposes.
  • AI outputs may be inaccurate or incomplete. Do not rely solely on AI insights when making leasing decisions.
  • You grant us a non-exclusive licence to process the content you provide for AI features.

7. Acceptable Use

  • Do not post unlawful, fraudulent, defamatory, or misleading content.
  • Do not infringe others' intellectual property or privacy rights.
  • Do not attempt to gain unauthorized access, interfere with Platform operation, or upload malicious code.
  • Do not harvest user data or use the Platform for spam, solicitation, or any activity that violates applicable law.
  • We may suspend or terminate accounts for violations without notice.

8. User Content & Intellectual Property

  • You retain ownership of the content you upload but grant Timelaine a worldwide, royalty-free licence to host, display, and distribute it in connection with the Platform.
  • Timelaine materials, trademarks, and software are protected by intellectual property laws. You may not copy, distribute, or create derivative works without our prior written consent.

9. Privacy & Data Protection

  • Our use of personal data is governed by the Privacy Policy below.
  • You must only provide personal data that you have authority to share and must notify us promptly of any data accuracy issues.

10. Third-Party Services

  • The Platform may include links or integrations to third parties (e.g., Firebase, Google Genkit, payment processors). We are not responsible for their content, policies, or practices.
  • Your use of third-party services is subject to their terms, and you assume all risk associated with such use.

11. Disclaimers

  • The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind.
  • We do not guarantee property availability, suitability, safety, or the behaviour of users.
  • To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

  • Timelaine, its officers, employees, and affiliates are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
  • Our aggregate liability for direct damages will not exceed the greater of (a) the amount you paid to us in the three months preceding the claim or (b) KES 10,000.

13. Indemnification

You agree to indemnify and hold Timelaine harmless from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from your breach of these Terms, your content, or your conduct in connection with the Platform.

14. Suspension & Termination

We may suspend or terminate your access to the Platform for any violation of these Terms, suspected fraudulent activity, or to comply with legal obligations. You may terminate your account at any time by contacting support@timelaine.com. Certain obligations (e.g., indemnity, limitation of liability) survive termination.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Kenya. You agree to attempt good-faith negotiation of disputes. If unresolved, disputes must be submitted to binding arbitration in Nairobi under the Kenyan Arbitration Act, unless another forum is required by law.

16. Changes to the Terms

We may modify these Terms by posting an updated version with a new "last updated" date. Continued use after changes constitutes acceptance. Material changes will be communicated via email or in-app notice where feasible.

Privacy Policy (Summary)

1. Data We Collect

  • Account data: name, email, phone number, profile details, identity documents.
  • Listing data: property details, images, pricing, availability, landlord contact information.
  • Usage data: device information, IP address, analytics events, cookies.
  • Communications: messages between landlords and tenants, support inquiries.

2. How We Use Data

  • Operate, secure, and improve the Platform.
  • Facilitate listing management, tenant enquiries, and payment processing.
  • Provide analytics, AI insights, and personalized recommendations.
  • Communicate updates, service announcements, and marketing (with opt-out options).

3. Legal Bases & Consent

  • We process data to fulfil contracts with you, comply with legal obligations, and pursue legitimate interests (e.g., fraud prevention).
  • We rely on consent for optional marketing and certain data features. You may withdraw consent at any time without affecting lawful processing conducted before withdrawal.

4. Data Sharing

  • Service providers (hosting, analytics, payment processors, customer support) under confidentiality obligations.
  • Government agencies or regulators when required by law.
  • Prospective buyers or investors in connection with corporate transactions, subject to safeguards.

5. International Transfers

Personal data may be transferred outside Kenya to jurisdictions with different data protection laws. We implement safeguards such as contractual clauses to protect your data.

6. Data Retention

We retain personal data for as long as necessary to provide services, comply with legal obligations, resolve disputes, and enforce agreements. We anonymize or delete data when no longer needed.

7. Your Rights

  • Access, correct, or delete your personal data.
  • Object to or restrict certain processing.
  • Export your data in a portable format.
  • Lodge complaints with the Office of the Data Protection Commissioner of Kenya.

8. Security

We implement technical and organizational safeguards (encryption, access controls, monitoring). No system is completely secure; report suspected breaches to security@timelaine.com immediately.

9. Children

We do not knowingly collect data from children under 18. If you learn that a minor has provided personal data, contact us to delete it.

10. Changes

We may update this summary and will notify users of material changes when required by law.

Acceptable Use Policy

The following activities are expressly prohibited:

  • Violating any applicable law, regulation, or industry standard.
  • Misrepresenting your identity or affiliation, or impersonating another person.
  • Publishing discriminatory, hateful, or harassing content.
  • Uploading content that infringes third-party rights or contains personal data without consent.
  • Reverse engineering, scraping, or attempting to bypass security measures.
  • Engaging in fraudulent behaviour, including listing non-existent properties or misrepresenting property conditions.
  • Using bots or automated scripts that overload or interfere with Platform operation.

Violations may result in immediate suspension, removal of content, and reporting to authorities.

Payment & Refund Policy

  • Service fees charged by Timelaine are disclosed during checkout and are generally non-refundable.
  • Refunds may be issued if (a) a transaction is cancelled before funds are settled, (b) required by law, or (c) at our discretion when a Platform error occurs.
  • Tenants and landlords are responsible for negotiating rent refunds or adjustments between themselves. Timelaine does not manage rent escrow unless expressly stated in writing.
  • Payment disputes should first be addressed with the counterparty, then escalated to support@timelaine.com with relevant evidence within 14 days of the transaction.

Public Website Usage Agreement

By accessing any publicly available page on Timelaine without logging in, you agree to:

  • Use the information solely for personal, non-commercial purposes unless expressly authorized.
  • Not reproduce, scrape, or redistribute content for competing services.
  • Respect robots.txt directives and rate limits.
  • Refrain from attempting to decompile, modify, or distribute our website code or assets.

Cookie & Tracking Notice

  • We use cookies and similar technologies for authentication, preferences, analytics, and marketing.
  • Essential cookies are required for core functionality and cannot be disabled.
  • Analytics and marketing cookies operate on an opt-in basis where required by law. You can adjust preferences through in-product controls or browser settings.
  • Third parties (e.g., Google Analytics) may set their own cookies subject to their policies.

Data Incident Response Policy

  • We maintain monitoring processes to detect potential security incidents.
  • Upon confirmation of a breach affecting personal data, we will notify impacted users and regulators within timelines required by law.
  • Incident response includes containment, investigation, remediation, and post-incident review.
  • Users must cooperate with investigations and follow instructions to secure their accounts.
